Terms of Service

These Terms of Service govern your access to and use of Startup Crowdfunding Hub Canada, including our educational content, guides, workshops, programs, and digital resources. If you do not agree, do not use the site.

Important: This website is educational and informational only. We do not provide funding, investment services, brokerage services, or financial advice. Crowdfunding outcomes are not guaranteed.

1. Acceptance and eligibility

By accessing or using this website (the "Site"), you agree to be bound by these Terms of Service (the "Terms") and to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Site.

You must be at least 16 years old to use the Site. If you are under the age of majority in your jurisdiction and between 16 and the age of majority, you may use the Site only with the consent and involvement of a parent or legal guardian who agrees to these Terms. If you are a parent or legal guardian and permit a minor to use the Site, you are responsible for that minor's use and compliance with these Terms.

The Site is intended for educational and informational purposes about crowdfunding campaigns and startup communication. Nothing on the Site constitutes an offer to sell, a solicitation to buy, or a recommendation of any financial product, security, or investment strategy.

2. Service description

Startup Crowdfunding Hub Canada provides educational content to help founders understand how crowdfunding campaigns are commonly structured and communicated. This may include written guides, checklists, templates, workshop sessions, and digital resources that discuss topics such as campaign page components, storytelling, community engagement, and platform evaluation considerations.

We may offer paid products and services such as startup education programs, online workshops, and downloadable digital resources. We may also participate in affiliate partnerships, which means we may earn a commission if you purchase a product or service from a third party through a link we provide. Affiliate relationships do not change your price unless explicitly stated by the third party. We do not provide funding, process investments, custody funds, or act as a financial intermediary.

Any examples, frameworks, or educational materials are provided for general learning. Your results will vary depending on your project, audience, execution, and market conditions. Crowdfunding involves operational and reputational risk, and supporters may have expectations you must manage responsibly.

3. User obligations

You agree to use the Site only for lawful purposes and in accordance with these Terms. You are responsible for your own decisions and actions based on the information you read on the Site. You should verify information before relying on it and seek professional advice where appropriate (for example, legal, tax, or regulatory advice).

If you register for a workshop, program, or download a resource that requires a transaction, you agree to provide accurate information and to keep it up to date. Where accounts are provided, you agree to maintain the confidentiality of any login credentials and to notify us promptly of any unauthorized use.

Unless we explicitly provide a multi-user license in writing, you agree that purchases are for your individual use only. One account per person applies where account access is offered. You may not share, resell, or redistribute paid materials except as permitted by mandatory law or by an explicit written license from us.

4. Intellectual property

The Site and its content, including text, graphics, templates, logos, design, compilation, user interfaces, and code, are owned by or licensed to North Shore Learning Studio Inc. and are protected by applicable intellectual property laws. "Startup Crowdfunding Hub Canada" and related marks may be trademarks of the Company.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal, non-commercial learning. This license does not allow you to reproduce, distribute, publicly display, create derivative works from, or otherwise exploit the Site content except as explicitly permitted.

If you submit feedback, suggestions, or ideas to us (for example via email), you agree that we may use that feedback to improve the Site and our educational materials without obligation to compensate you, unless prohibited by law.

5. Prohibited activities

You agree not to, and not to assist others to, engage in any of the following:

  • Use the Site in any way that violates applicable laws, regulations, or court orders.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Scrape, crawl, harvest, or index the Site using automated means without our prior written permission.
  • Attempt to reverse engineer, decompile, or otherwise discover source code or underlying ideas of the Site except to the extent permitted by law.
  • Interfere with the Site's operation or security, including by introducing malware, denial-of-service attacks, or unauthorized access attempts.
  • Use the Site to send spam, unsolicited messages, or deceptive communications.
  • Upload or transmit content that infringes intellectual property rights, violates privacy rights, or is unlawful, defamatory, or harassing.
  • Resell, sublicense, or redistribute paid resources or workshop recordings unless explicitly licensed for that purpose.

We may investigate suspected violations and may cooperate with law enforcement or regulators as required by law.

6. Disclaimer of warranties

The Site and all content and services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that information on the Site is complete, current, or suitable for your specific needs. Educational content may become outdated due to changes in platform policies, regulations, or industry practices.

You understand that crowdfunding and startup execution involve uncertainty. Any references to campaign performance, audience behavior, or platform features are presented for learning and do not constitute guarantees of outcomes.

7. Limitation of liability

To the maximum extent permitted by applicable law, in no event will North Shore Learning Studio Inc. or its directors, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, loss of revenue, loss of goodwill, business interruption, loss of data, or costs of substitute services, arising out of or related to your use of (or inability to use) the Site, content, workshops, programs, or resources, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total direct liability for all claims arising out of or relating to the Site, content, or any paid product or service will not exceed the amount you paid to us in the 12 months immediately preceding the event giving rise to the claim, or CAD $150, whichever is lower.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless North Shore Learning Studio Inc. and its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your infringement of any intellectual property or other right of any person or entity; or (d) your unlawful conduct.

We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In that case, you agree to cooperate with our defense.

9. Third-party links and services

The Site may reference third-party platforms, tools, or services used in crowdfunding and startup workflows. We may also include affiliate links. Third-party services are provided by independent companies and are subject to their own terms and privacy policies.

We do not control and are not responsible for the content, security, availability, or practices of third-party sites and services. Your interactions with third parties are solely between you and the third party. You should review third-party documentation carefully before using their products or services.

10. Privacy

Our Privacy Policy explains how we collect, use, share, and retain personal information, including information collected via forms, cookies, and analytics. The Privacy Policy is incorporated into these Terms by reference.

If you do not agree with our Privacy Policy, you should not use the Site. Where consent is required for certain processing activities (for example, marketing emails), you may withdraw your consent at any time as described in the Privacy Policy.

11. Governing law and jurisdiction

These Terms and any dispute arising out of or related to the Site, content, or services will be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to the Dispute Resolution section below, you agree that the courts located in Vancouver, British Columbia, will have exclusive jurisdiction over any legal action or proceeding arising out of or related to these Terms, and you consent to the personal jurisdiction of those courts.

12. Dispute resolution

Before starting a formal legal proceeding, you agree to contact us and provide a brief written description of the dispute and the relief requested. We will attempt to resolve disputes informally within 30 days of receiving your notice. This informal process is intended to reduce costs and encourage good-faith resolution.

If the dispute is not resolved within 30 days, either party may pursue claims in the courts specified in the Governing Law and Jurisdiction section, unless applicable law requires a different forum.

13. Termination

We may suspend or terminate your access to the Site (and, where applicable, any account) at any time if we reasonably believe you have violated these Terms or if necessary to protect the security and integrity of the Site. We may do so with or without notice where notice is not feasible or could cause harm.

Upon termination, your right to use the Site will cease immediately. Sections intended by their nature to survive termination will survive, including but not limited to Intellectual Property, Prohibited Activities, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and Contact.

14. Modifications to these Terms

We may update these Terms from time to time to reflect changes to the Site, our offerings, or legal requirements. When we make changes, we will update the "Last Updated" date at the top of this page. Unless a change is required to take effect immediately by law, updated Terms will become effective 14 days after posting.

By continuing to use the Site after the effective date of revised Terms, you agree to the updated Terms. If you do not agree to the revised Terms, you must stop using the Site.
